Who we are

AdStudio is a proprietary platform operated by Mediadrive Ltd, part of SN&CK Media Limited. References to "AdStudio", "we", "us" and "our" in these Terms mean Mediadrive Ltd. You can contact us at info@mediadrive.co.uk.

1. Acceptance of Terms

By accessing or using AdStudio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including administrators, standard users, and publishers.

2. Description of Service

AdStudio is a software-as-a-service platform that provides tools for:

  • Managing advertising campaigns and creative assets
  • Creating and viewing performance reports and dashboards
  • Serving ad tags and managing placements
  • Uploading, storing, and sharing creative files (images, videos, HTML5, documents)
  • Importing and analysing campaign data from CSV files, Google Sheets, and Google Campaign Manager 360
  • Generating insights from advertising performance metrics

3. Account Registration and Security

To use AdStudio, you must register with a valid email address and password. Your account will be assigned to an organisation and granted a role (administrator or standard user) by your organisation's admin. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying your organisation administrator immediately of any unauthorised use of your account

4. User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with all applicable advertising regulations and standards. You shall not:

  • Upload malicious files, harmful content, or content that infringes on third-party rights
  • Attempt to gain unauthorised access to other users' accounts or organisation data
  • Use the Service to distribute misleading or deceptive advertising
  • Interfere with or disrupt the Service's infrastructure or security measures
  • Share your account credentials with others or allow multiple individuals to use a single account
  • Upload data that contains personal information of end users without appropriate consent and legal basis

5. Data and Content Ownership

You retain all ownership rights to the content you upload to AdStudio, including creative assets, campaign data, CSV files, and report configurations. By uploading content, you grant AdStudio a limited licence to process, store, and display your content solely for the purpose of providing the Service.

You are solely responsible for ensuring that any data you upload complies with applicable data protection laws and that you have the necessary rights and permissions to use and share such data through the Service.

6. Third-Party Integrations

AdStudio integrates with third-party services including Google Campaign Manager 360 (CM360), Google Sheets, and Google BigQuery. Your use of these integrations is subject to the respective terms of service of those providers. AdStudio acts as an intermediary and is not responsible for the availability, accuracy, or policies of third-party services.

When you connect a CM360 account or link a Google Sheet, you authorise AdStudio to access and process data from those services on your behalf in accordance with these Terms and our Privacy Policy.

7. Intellectual Property

The AdStudio platform, including its design, code, features, logos, and documentation, is the intellectual property of AdStudio and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform without prior written consent.

8. Service Availability

AdStudio strives to maintain high availability but does not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, AdStudio and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

AdStudio is not responsible for the accuracy or completeness of campaign data imported from third-party sources, nor for any decisions made based on reports generated by the Service.

10. Termination

Your organisation administrator or AdStudio may terminate your access to the Service at any time. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations, resolve disputes, or enforce our agreements. You may request deletion of your personal data by contacting us.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
